Terms of Service

This page is maintained by ETUDUM LTD and sets out the terms on which we provide our digital marketing services. Please read these terms carefully before engaging us. By accepting a proposal, signing an agreement or using our services, you agree to be bound by these terms.

1. Services

ETUDUM LTD provides digital marketing services including, but not limited to, search engine optimisation (SEO), content marketing, website design and development, paid advertising and social media management. The specific scope, deliverables and timetable for each project are set out in the proposal or service agreement agreed with the client.

2. Acceptance and agreements

A contract is formed when you accept our proposal in writing, sign a service agreement, pay the required deposit, or otherwise confirm that you wish us to proceed. Each proposal or agreement incorporates these terms unless expressly varied in writing.

3. Client responsibilities

  • Provide accurate and complete information, access, assets and approvals needed to deliver the services.
  • Respond to requests for feedback, content and authorisation within agreed timeframes.
  • Ensure you have the right to use any materials, logos, images or content you provide.
  • Comply with applicable laws and advertising standards in your jurisdiction.

4. Fees and payment

Fees are set out in the relevant proposal or agreement. Unless otherwise agreed, project deposits are due before work begins and recurring fees are invoiced monthly in advance. Payment is due within 14 days of the invoice date unless a different period is agreed in writing.

Late payments may result in suspension of services and interest may be charged in line with applicable UK legislation.

5. Intellectual property

Upon full payment, ownership of final deliverables created specifically for the client is transferred to the client. We retain ownership of pre-existing materials, methodologies, templates and tools. Third-party assets such as stock imagery or software licences may be subject to their own terms.

We reserve the right to display completed work in our portfolio and marketing materials unless the client requests otherwise in writing.

6. Confidentiality

Both parties agree to keep confidential any non-public information disclosed during the course of the engagement, except where disclosure is required by law or necessary to perform the services.

7. Limitation of liability

To the fullest extent permitted by law, ETUDUM LTD's total liability arising out of or in connection with our services is limited to the total fees paid by the client for the services giving rise to the liability. We are not liable for any indirect, consequential or loss-of-profit damages.

Nothing in these terms limits liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be excluded by law.

8. Termination

Either party may terminate a recurring service agreement by giving 30 days' written notice. Project-based work may be terminated in accordance with the termination provisions in the relevant proposal or agreement. Fees for work completed and expenses incurred up to the termination date remain payable.

9. Governing law

These terms and any dispute arising from them are governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction.

10. Changes to these terms

We may update these terms from time to time. The latest version will be posted on this page with the updated date. Continued use of our services after changes constitutes acceptance of the revised terms.
